OEM / EMBEDDED SOFTWARE AGREEMENT

1. License Grant

Licensor grants OEM a non-exclusive license to embed Software in OEM Products listed in Schedule A.

2. Manufacture & Distribution

OEM may manufacture and distribute OEM Products with embedded Software worldwide.

3. Royalties & Fees

OEM shall pay royalties per Schedule B, reported quarterly.

4. Quality Assurance

OEM agrees to adhere to Licensor quality standards and allow inspections.

5. Support & Updates

Licensor will provide updates and support as in Schedule C.

6. Term & Termination

Initial term ___________ years; either Party may terminate for uncured breach with ___________ days' notice.
