Escrow Agent verifies integrity and issues a report to Beneficiary.

3. Release Conditions

Escrow Agent releases Materials upon events in Exhibit B.

4. Fees

Depositor pays Escrow fees as per Exhibit C.

5. Term

Agreement remains until terminated by all Parties.

6. Liability

Escrow Agent liability limited to fees paid in past 12 months.
